Free Trial TermsFree Trial Terms

1. SCOPE OF APPLICATION

1.1. Acceptance and Applicability: These Free Trial Terms (“Free Trial Terms”) govern the access to and use of certain services made available by Maven Mule on a free trial basis (“Free Trial”) by the individual or legal entity registering for the evaluation (“Customer”). If you are registering for the Free Trial on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Free Trial Terms, in which case the term “Customer” shall refer to such entity. By registering for or accessing the Free Trial, the Customer agrees to be bound by these Free Trial Terms, which constitute a separate, standalone agreement between the Customer and Maven Mule.

1.2. Scope of Services: The Free Trial may include certain cloud-based products, modules, functionalities, features, or components of the Maven Mule platform (collectively referred to herein as the “Services” or “Software”) made available for evaluation purposes, as specified on the applicable trial registration web page.

1.3. Permitted Use: The Free Trial is provided solely for Customer’s internal evaluation, testing, and demonstration purposes. Any use of the Free Trial in a production, live, or business-critical environment is strictly at the Customer’s own risk.

1.4. Feature Limits: The version of the Services made available for a Free Trial may not include or allow access to all features, functionalities, or integrations available in paid versions of the Services. Furthermore, Maven Mule may specify additional limits or conditions (such as usage quotas or feature restrictions) on the Free Trial registration web page, which are hereby incorporated into these Free Trial Terms by reference.

2. FREE TRIAL PERIOD AND TERMINATION

2.1. Trial Duration: The Free Trial shall commence upon Customer’s registration or access to the Services and shall continue until the earliest of:

  • (a) the expiry of the Free Trial period specified on the trial registration web page or otherwise communicated to the Customer by Maven Mule,
  • (b) the commencement of any paid subscription for the relevant Services, or
  • (c) termination by Maven Mule in accordance with Section 2.2.

2.2. Right to Terminate: Maven Mule may, at its sole discretion, reduce the term of, suspend, restrict, or terminate the Free Trial at any time, without prior notice, liability, or obligation to provide any reason. The Customer may terminate the Free Trial at any time by ceasing all use of the Services, or as an exclusive remedy following an objection to a new Sub-processor pursuant to Section 9.5.4.

2.3. Access Disablement: Upon termination or expiry of the Free Trial, Customer’s access to the Services may be immediately disabled.

3. INTELLECTUAL PROPERTY, CONFIDENTIALITY AND FEEDBACK

3.1. Ownership Rights: Maven Mule and its licensors retain all rights, title, and interest, including all intellectual property rights, in and to the Services, Software, and any modifications or improvements thereto. Customer acquires no rights in the Services other than the limited evaluation right expressly granted herein.

3.2. Confidentiality: Customer acknowledges that the Services, including their features, user interfaces, underlying architecture, business plans, pricing, and technical documentation, constitute valuable trade secrets and confidential information of Maven Mule. Customer agrees to keep such information strictly confidential using at least a reasonable degree of care, and shall not disclose, share, or publicly display (e.g., via screenshots or video recordings) any internal aspects of the Services to any third party without Maven Mule's prior written consent.

3.3. Feedback License: If Customer provides any suggestions, comments, or other feedback regarding the Services (“Feedback”), Maven Mule shall have a royalty-free, worldwide, transferable, sublicensable, irrevocable, and perpetual license to use, incorporate, and distribute such Feedback without restriction or obligation to the Customer.

3.4. Equitable Relief: Customer acknowledges that any breach of this Section 3 may cause irreparable harm to Maven Mule for which financial compensation would be inadequate. Accordingly, Maven Mule shall be entitled to seek immediate injunctive or other equitable relief to prevent such a breach, in addition to any other remedies available at law.

4. EVALUATION USE AND RESTRICTIONS

4.1. Compliance: Customer shall use the Free Trial strictly in accordance with these Free Trial Terms.

4.2. Usage Restrictions: Customer shall not, and shall not permit any third party to:

  • (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or product architecture of the Services
  • (b) use the Free Trial for data scraping, harvesting, or automated extraction
  • (c) bypass, disable, or attempt to interfere with any security mechanisms, usage limits, or entitlement controls of the Services
  • (d) gain or attempt to gain unauthorized access to the Services or any related systems or networks

9. DATA HANDLING AND TRANSITION TO PAID SERVICES

9.1. Data Deletion: Customer acknowledges and agrees that any data entered into or processed through the Services during the Free Trial may be permanently and irreversibly deleted upon expiry or termination of the Free Trial. Maven Mule shall have no obligation to retain, export, recover, or make available any data following the termination or expiry of the Free Trial.

9.2. Data Export Responsibility: Customer is solely responsible for exporting any data prior to the end of the Free Trial.

9.3. Transition and Upgrades: Customer may subscribe to paid Services at any time during or after the Free Trial. Any data entered into the Services, and any configurations or workflows created during the Free Trial, will be permanently lost unless Customer purchases a subscription to the same or an upgraded version of the Services before the end of the Free Trial period.

9.4. Downgrade Restrictions: Maven Mule does not guarantee compatibility or the seamless transition of data if Customer purchases a downgrade from the functionalities evaluated during the Free Trial. In such cases, Customer must export their data prior to the end of the Free Trial, or such data may be permanently lost.

9.5. Data Protection Agreement (GDPR Article 28 Compliant): To the extent that Maven Mule processes Customer Personal Data on behalf of the Customer within the Services during the Free Trial, the parties agree that this Section 9.5 constitutes a binding data processing agreement under Article 28(3) of the GDPR. Any capitalized terms used in this Section 9.5 that are not otherwise defined in these Free Trial Terms (such as Data Protection Laws, Personal Data, Processing, Data Subject, Controller, Processor, and Personal Data Breach) shall have the meanings as defined in the General Data Protection Regulation ("GDPR"). The processing shall be governed by the following terms:

9.5.1. Scope and Details of Processing: The nature and purpose of the processing is the provision of the Free Trial Services (including document generation, workflows, and digital signing) as instructed by the Customer. The duration of processing shall match the Free Trial period. The categories of data subjects (Customer’s users, employees, and third-party signatories) and types of Personal Data (names, business contact info, metadata, and document content) are strictly limited to what the Customer chooses to upload to the Services.

9.5.2. Instructions and Compliance: Maven Mule shall process Personal Data only on documented instructions from the Customer, including with regard to transfers of personal data to a third country. Customer's configuration and use of the Software constitute such documented instructions. Maven Mule shall immediately inform the Customer if, in its opinion, an instruction infringes Data Protection Laws.

9.5.3. Confidentiality and Security: Maven Mule ensures that persons authorized to process the Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality. Maven Mule shall implement appropriate technical and organizational measures pursuant to Article 32 GDPR to ensure a level of security appropriate to the risk.

9.5.4. Sub-processors: Customer grants a general written authorization to Maven Mule to engage sub-processors. Maven Mule shall inform the Customer of any intended changes concerning the addition or replacement of sub-processors at least 14 days in advance, thereby giving the Customer the opportunity to object on reasonable data protection grounds. If the Customer objects to a new sub-processor, the Customer's sole and exclusive remedy is to terminate the Free Trial with immediate effect in accordance with Section 2.2. Maven Mule shall have no obligation to modify the Services, provide alternative configurations, or incur any liability to accommodate the Customer's objection.

9.5.5. Assistance and Data Subject Rights: Maven Mule shall, taking into account the nature of the processing, assist the Customer solely by providing available standard Software functionality or existing documentation, insofar as this is possible, for the fulfilment of the Customer's obligation to respond to requests for exercising the data subject's rights. Maven Mule shall further assist the Customer in ensuring compliance with the obligations pursuant to Articles 32 to 36 GDPR strictly by making available Maven Mule's standard security summaries and certifications, without any obligation to provide custom consulting, security assessments, or specialized engineering resources to the Customer.

9.5.6. Breach Notification: Maven Mule shall notify the Customer without undue delay, and in any event within 72 hours, after becoming aware of a confirmed Personal Data Breach.

9.5.7. Deletion or Return: The Customer acknowledges that the Services are designed to automatically delete data upon the expiry or termination of the Free Trial. By accepting these Free Trial Terms, the Customer explicitly instructs Maven Mule to delete all Customer Personal Data following the expiry of the Free Trial period in accordance with Section 9.1 and Section 9.2 herein, and to delete any existing copies unless applicable law requires retention. The Customer agrees that this automated deletion fulfills Maven Mule’s obligation to return or delete data under Article 28(3)(g) of the GDPR.

9.5.8. Audits: Maven Mule shall make available to the Customer all information necessary to demonstrate compliance with the obligations laid down in Article 28 GDPR. The Customer explicitly agrees that for the duration of the Free Trial, this obligation is fully satisfied solely by the provision of Maven Mule's existing standard security documentation or applicable certifications, and no direct on-site or remote inspections of Maven Mule’s systems, operations, or personnel shall be permitted.

9.5.9. Liability and "As-Is" Carve-Out: The Customer explicitly acknowledges and agrees that the processing under this Section 9.5 is performed strictly within an evaluation environment on an "AS-IS" basis. Notwithstanding the statutory obligations outlined herein, any financial liability or performance guarantees arising out of or in connection with this Section 9.5 shall be fully subject to the Limitation of Liability and Disclaimers set forth in Sections 5 and 7 of these Free Trial Terms.

10. MISCELLANEOUS

10.1. Governing Law and Jurisdiction: These Free Trial Terms shall be governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of the Republic of Ireland for any disputes arising out of or in connection with these Free Trial Terms.

10.2. Entire Agreement: These Free Trial Terms constitute the entire agreement between the parties relating to the Free Trial and supersede all prior or contemporaneous oral or written communications.

10.3. Severability: If any provision of these Free Trial Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Free Trial Terms will remain in full force and effect.
